Principal and returns are senior to all operational and equity distributions.
Fixed Return
A fixed 20% premium on all committed capital.
Repayment
Automated monthly "top-line" waterfall until the 1.2x return is satisfied.
Timeline
9-Month Minimum: Target repayment of 12 months, with an accelerated 9-month exit if revenue milestones are met early.
Exit options
V1 Scale retains the option for early exit at its discretion. Mandatory full settlement occurs at 12 months via a VEST Equity Raise or subsequent Private Placement.
